Nivi Software License Agreement
Effective Date: 20 May 2025
1. Introduction
This Software License Agreement ("Agreement") is
made between Nivi Aps, a company incorporated under the laws of Denmark, with
its principal office located at Rosenvaengets Hovedvej, 46-1.4, DK-2100, Copenhagen, Denmark ("Licensor"), and
the end user ("Licensee"). By installing, copying, or otherwise using
the software provided by Nivi Aps ("Software"), the Licensee agrees
to be bound by the terms of this Agreement.
2. License Types
2.1 Freeware License for Educational Use
Nivi Aps grants the Licensee a non-exclusive,
non-transferable, and revocable license to use the Software for educational
purposes only. This Freeware License allows the Licensee to:

Access and use the Software on any number of devices
within an educational institution.

Use the Software solely for educational and non-commercial
purposes.
2.2 Subscription-Based License for Commercial Use
If you enter into an agreement for a subscription-based NIVI
service, the terms of this license are as follows:
- Subscription Fee: The Licensee agrees to pay a
subscription fee ("Fee") as per the pricing details provided by
Nivi Aps.
- License Term: The commercial license is granted for
the duration specified in the subscription plan selected by the Licensee
and is renewable upon payment of the Fee.
- Usage Rights: The Licensee is permitted to use the
Software for commercial purposes, including but not limited to internal
business operations and providing services to third parties.
- Number of Users: The Licensee may use the Software
for the number of users specified in the subscription plan.
If you sign up for the free version of NIVI, the terms of
this license are as follows:

Access and use the software with all functionalities provided as
part of the free plan.

We reserve the right to adjust the availability
of the free functions.
3. Restrictions
The Licensee shall not:

Modify, reverse engineer, decompile, or disassemble the
Software.

Distribute, sublicense, rent, lease, or lend the Software
to any third party.

Use the Software in any manner that infringes the
intellectual property rights of Nivi Aps or any third party.
4. Ownership
Nivi Aps retains all rights, title, and interest in and to
the Software, including all intellectual property rights therein. The Licensee
acknowledges that no title to the intellectual property in the Software is
transferred to them.
5. Warranty Disclaimer
The Software is provided "as is," without warranty
of any kind. Nivi Aps disclaims all warranties, whether express or implied,
including but not limited to the implied warranties of merchantability, fitness
for a particular purpose, and non-infringement.
6. Limitation of Liability
In no event shall Nivi Aps be liable for any indirect,
incidental, special, or consequential damages arising out of or in connection
with the use of or inability to use the Software, even if advised of the
possibility of such damages.
7. Termination
Nivi Aps may terminate this Agreement immediately if the
Licensee breaches any of its terms. Upon termination, the Licensee must cease
all use of the Software and destroy all copies thereof.
8. Governing Law
This Agreement shall be governed by and construed in
accordance with the laws of Denmark. Any disputes arising under or in
connection with this Agreement shall be subject to the exclusive jurisdiction
of the courts of Denmark.
9. Entire Agreement
This Agreement constitutes the entire agreement between the
parties concerning the subject matter hereof and supersedes all prior and
contemporaneous understandings, agreements, representations, and warranties,
both written and oral.
10. Additional Documents
The outline of the usage of NIVI can be found in the Terms
and Conditions. In our Privacy Policy it is addressed how personal data is
handled for NIVI users.

By clicking "I Agree" or by installing, copying,
or using the Software, the Licensee acknowledges that they have read,
understood, and agree to be bound by the terms and conditions of this Agreement,
the Privacy Policy and the Terms and Conditions.
